Terms of Service

Welcome to NetIntent. These Terms of Service (“Terms”) govern your access to and use of the NetIntent website, platform, and services (collectively, the “Service”) operated by Ignore All Previous Instructions LLC (“Company,” “we,” “us,” or “our”), located at 2810 N Church St STE 89754 Wilmington, DE 19802.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “Publisher” means a website owner or operator who integrates the NetIntent exit-intent technology on their site.
  • “Advertiser” means a brand or business whose offers are displayed through the Service.
  • “Network Partner” means a CPA network through which advertiser offers are tracked and attributed.
  • “User” or “Visitor” means any person who accesses a Publisher’s website or the NetIntent storefront.
  • “Storefront” means the NetIntent-hosted page where curated brand offers are presented to visitors.

2. Eligibility

You must be at least 18 years of age and capable of entering into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

4. Use of the Service

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. Publishers may integrate the Service on websites that meet our content and traffic quality guidelines.

4.2 Prohibited Conduct

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Generate fraudulent clicks, impressions, or conversions.
  • Use bots, scripts, or automated tools to interact with the Service.
  • Attempt to reverse-engineer, decompile, or disassemble the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Misrepresent your identity, website ownership, or traffic sources.
  • Use the Service on websites containing illegal, adult, hateful, or deceptive content.

5. Publisher Terms

5.1 Site Approval

All publisher sites are subject to manual review and approval. We reserve the right to reject or remove any site at our sole discretion.

5.2 Revenue Share

Approved publishers earn a revenue share on qualified conversions generated through the Service. The specific revenue share percentage and payment terms are set forth in your publisher agreement. Revenue share is calculated on net revenue (after network fees and chargebacks).

5.3 Payment

Payments are made on a monthly basis, subject to a minimum payout threshold. We reserve the right to withhold payment if we suspect fraudulent or invalid activity pending investigation.

6. Intellectual Property

The Service, including its design, code, features, content, and branding, is the exclusive property of Ignore All Previous Instructions LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

7. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

8. Third-Party Services

The Service may contain links to or integrations with third-party websites, services, or content. We do not control, endorse, or assume responsibility for any third-party content or services. Your interactions with third parties are solely between you and the third party.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Ignore All Previous Instructions LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID TO YOU, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Ignore All Previous Instructions LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimers, indemnification, and limitation of liability.

13. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any publisher or advertiser agreements, constitute the entire agreement between you and Ignore All Previous Instructions LLC regarding the Service.
